1. These terms
These terms govern your use of forklabs.tech and set the baseline for work carried out by Fork Labs Pvt Ltd. By using the site you accept them. If you do not accept them, stop using the site.
Paid work is always governed by a separate signed proposal, statement of work or master services agreement. Where that document conflicts with these terms, that document wins.
2. Use of the site
You may read, print and share the pages on this site for your own business purposes. You may not scrape it at a rate that degrades it, attempt to break its security, misrepresent yourself as us, or use it to send unsolicited commercial messages.
We may change, move or remove anything on the site at any time, and we do not promise uninterrupted availability.
3. Enquiries are not a contract
Submitting the contact form starts a conversation. It does not create a contract, reserve capacity, or oblige either of us to anything. A project begins only when both sides sign a written scope.
4. Scope, changes and estimates
Every engagement defines deliverables, a timeline and a price in writing before work starts. Estimates are estimates: if the scope moves, the timeline and price move with it, and we will tell you in writing before doing the extra work.
Where a project depends on your data, accounts, approvals or third-party access, delays on your side move our dates by at least the same amount.
5. Fees and payment
- Fees, currency and schedule are set in the engagement document.
- Invoices are payable within 14 days of issue unless agreed otherwise.
- Taxes and payment-processing charges are payable by you in addition to the fee.
- We may pause work on an overdue account after written notice.
6. Intellectual property
On full payment, you own the deliverables built specifically for you, including their source code.
We keep ownership of our pre-existing tooling, libraries, internal frameworks and general know-how, and we grant you a perpetual, non-exclusive licence to use any of it that is embedded in your deliverables.
Third-party and open-source components stay under their own licences, which we will identify on request.
7. Confidentiality
Each side will protect the other's non-public information, use it only for the engagement, and not disclose it without permission. This survives the end of the engagement. It does not cover information that is already public, independently developed, or required to be disclosed by law.
8. AI and automated components
Some deliverables use large language models or other probabilistic systems. These produce output that can be wrong, and we do not warrant that such output is accurate, complete or fit for an unreviewed decision.
Where a deliverable includes an AI component, we will say in the engagement document what it does, which provider it calls, what data it sends, and what human review we recommend. Keeping that review in place is your responsibility once the system is handed over.
9. Warranties and disclaimers
We will perform our services with reasonable skill and care, by suitably qualified people.
Beyond that, the site and its content are provided "as is". We disclaim all implied warranties to the extent the law allows, including merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
Neither side is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data.
Our total liability arising out of an engagement is capped at the fees you paid us for that engagement in the 12 months before the claim arose.
Nothing in these terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited under Indian law.
11. Termination
Either side may end an engagement with 30 days' written notice, or immediately if the other side commits a material breach and does not fix it within 15 days of being told. On termination you pay for work completed and costs committed up to that date, and we hand over the work in progress.
12. Governing law
These terms are governed by the laws of India. The courts of Delhi have exclusive jurisdiction, and both sides agree to attempt a good-faith resolution in writing before filing anything.
13. Changes
We may revise these terms. The version on this page, dated at the top, is the one that applies. Continued use of the site after a change means you accept the revised terms.
